Based on what on earth large shareholders are deciding not to pass his comp plan? Aren’t they have been making money for last few years and now they are not interested making more? This makes no sense!!!

I think, if anything, a yes vote for both the compensation and move to Texas would send a positive message to Wall Street and all Tesla investors... Something that's rare these days....

Elon could take Bot software development out of Tesla, and into xAI, siphoning the vast majority of future revenue out of Tesla into an Elon private company, xAI. People could asked to buy the Bot from Tesla, but subscribe to the software from xAI. It would be nice to have some assurance from Elon that he won't be doing this. Otherwise this would severely limit future Tesla valuation.

If the vote doesn't pass, we will see a drop in tesla stock because there will be fears that elon musk may leave due to this.

It the vote doesn’t pass I would see Elon stay at Tesla but step down as CEO so he can give more focus to XAI. He would be looking for someone to step in as he has said this in the past that he doesn’t like the bureaucracies that come with a CEO role. IMHO

Jason Debolt is likely correct that Musk has a tendency to hold grudges. the stock price is consolidating in a range from 173 to 182 and is likely to break out of this range, one way or another after the shareholder meeting. There is no volume or conviction in either direction. Stuck in a holding pattern.

I love Tesla but is it me or does it feel like there's always a new "overhang" challenge every few months which keeps the stock suppresssed? (lol)

A no vote is going to hurt the stock and company because then we have to consider the lawfirm who brought the lawsuit could get the $6 billion in shares they are demanding for winning the case. That is like 7% dilution. I am debating on buying puts to hedge. I think the market is assuming it passes because if it does not pass, I think stock drops 5-10% as there will be a lot of uncertainty that isn't going to go away for a long time.

If the vote doesn't pass, i think that elon will shift the development and training of the NNs and AI that operate the optimus bot to Xai. I expect Tesla to still be the physical manufacturer of the actual robots, though.

If the comp plan doesn't go through, I guess the stock goes to mid 150's and rebalances back up to 165 short term. The stock will fluctuate between 165-185 until 8/8 and will float around 195-205 late summer and Fall or until a new comp plan is enacted. Just initial gut reactions and not financial advice 😅

Can't believe how much anxiety this vote is giving me. Why can't people just let Elon be and do what he needs to do without all these attacks from media, government, crazed celebrities and politicians, envirowackos, and the like. Good video. I just don't see enough investors saying, "We don't mind that the brilliant CEO has so many other distractions. We don't want to use this opportunity to reopen negotiations with him -- to set some more goals (he'll probably zoom right through! ) We don't mind that the stock is less than half where it was at the beginning of 2021. We don't mind that the 20 million EVs/year by 2030 has been cancelled....." I don't think any of us wants to take anything away from Elon, but if we can get him a bit more focused?...... I think the new offer would be the 2018 package in stages over the short term -- but based on the share value. Over $200...okay, start paying. Also, promising a RoboTaxi announcement for August was clearly not discussed outside Elon's head. What's his biggest unrealized over promise? Bottom line? I think investors want Elon compensated, but we want Tesla to do better than it's been doing: delayed Cybertruck, delayed Semi, FSD is split (v12 is amazing, but we're still not there. Yashu, all these "pay the guy" doesn't really matter as Tesla unfortunately designed the comp plan without proper independent Directors. There's no doubt about huge governance problems with Tesla's BoD, even the most hardcore Tesla Bulls have to agree to this. So this whole proxy vote, the move to Texas is all a consequence of the lack of Governance problem at Tesla and revoting on it or moving to Texas isn't solving this. That means that no matter what the outcome of the vote is, even what the outcome of the appeal from Tesla at the Supreme Chancery Court is. There will be another round of lawsuits by stockholders because Tesla isn't willing it seems to fix the main problem, fire the non independent Directors and get real independent Directors in. In the meantime, most people don't understand that Elon has to sell about $25 billion for the 304 million shares if he gets those options. That means he needs to sell roughly 145 million shares or so and you know the share price will plummet like hell then. That doesn't even take into account the 10% dilution that the Tesla stock price will take when Tesla needs to issue 304 million new shares. These are all important points that aren't explicitly mentioned in the proxy statement nor in the ads that Tesla is running. So IMO, there's no way he will get that 304 million shares, the law is just against them due to not fixing the Governance problem. Now if they fix that problem, they can negotiate a new comp plan that will be 100% legally safe but that's how it's going to be. Also keep in mind that Elon is 52 years old. With all his money, he might call it quit on Tesla anyways in the next 1-2 years and will focus only on his pet projects like Occupying Mars. Just my two cents on all of this.

Difficult talking point omitting politics and how they are strongly behind the whole reason we're discussing the VOTE. But gut feeling tells me that baring more election interference from libs side of the isle, we could easily have Trump back in office and I don't think he'd be kosher with the way this lawsuit was born. As it was an obvious hit job from the once bitten twice shy Twitter / X judge who decided to unilaterally go against all things capitalism, and use her socialist methodology to overrule what the stockholders already voted on back in 2018. ITS ALL BS as a result of more corrupt judicial high ups deciding to target. No matter how the vote in 2024 turns out, you CAN NOT make it equal to how it was in 2018. Thus said, someone of higher authority may need to rescind this judge's ruling. End of story. Or justice is gone in America.

I'd be interested in the retail vote Vs institutional vote percentages. If the institutions sway the vote against and he doesn't get paid, Elon might not be surprised and not be so affected. But if the retail (small investors) vote against the Tesla proposals it could be quite dis-heartening ("why even bother?"). On the other hand if retailers vote for his package - whether he gets it or not - he may feel more supported and motivated to support us back.

If comp plans doesnt pass, then Elon will leave. I have a strong belief that comp plan will pass.This is my prediction. Current comp plan or future comp plan should restrict Elon to focus solely on Tesla. Not on Twitter, Xi , XAi, Boring, Space X etc.etc.,

I believe musk to be emotionally immature and if he doesn't get his comp he will view that his company is now taken over by the woke and therefore will do things to undermine the very company he helped found.

Lee will be proved completely right in the short to medium term. This video was put out before Elon sacked Drew Baglino and the whole super charger team including Rebecca its brilliant leader. Tesla doesn't need a CEO having hissy fits because she wouldn't fire more than 15 to 20% of her team and Musk then sacked everyone. There goes Tesla's biggest advantage over its competitors.😢
